Terms of Service
Draft — to be reviewed by a licensed attorney before launch.
These Terms of Service (the "Terms") apply to every service booked with Seawise Logistics [LLC — confirm exact legal name] ("Seawise", "we", "us"), a Puerto Rico company, and to the use of this website. By requesting a quote, paying a deposit or booking a service, you ("you", "the client") agree to these Terms.
1. Our services
Seawise offers boat deliveries (by water or coordinated transport aboard another vessel), private charters, captain and crew services on the client's own vessel (including hurricane relocation, sea trials, relief crew and boat check-ups), and hands-on captain training. The scope, dates and price of each service are set out in the written quote or booking confirmation, which forms part of these Terms.
Captain training is practical boat-handling instruction. It is not a USCG license course and does not replace any license or boating course required by law.
2. Quotes
Quotes are based on the information you provide (for example the vessel, route, dates and group size). A quote is valid for [14] days unless it states otherwise. If the information turns out to be inaccurate, or conditions outside our control change the job (such as marina fees, fuel prices, weather delays or transport schedules), we will tell you and may adjust the quote before continuing.
3. Deposits and payments
Charters can be reserved with a 30% deposit or paid in full at booking. Captain training bookings are paid in advance for the minimum number of hours shown at checkout. Deliveries and custom services require the deposit stated in the quote. Any balance is due [before departure / on the date stated in the quote]. Payments are processed by third-party providers (for example Stripe or ATH Móvil); we do not store card numbers.
Cancellations, refunds and rescheduling are governed by our Cancellation Policy.
4. Weather and safety
Safety comes first. The captain in command has the final decision on whether a trip departs, continues, changes route or returns early, based on weather, sea conditions, the condition of the vessel, the behavior of anyone on board or any other safety concern. That decision is final. If a trip is cancelled or cut short for safety or weather, the Cancellation Policy applies.
5. Passenger conduct
Everyone on board must:
- follow the instructions of the captain and crew at all times;
- respect the maximum number of guests stated in the booking;
- wear a life jacket when the captain asks, and always for children as required by law;
- not bring illegal substances, weapons or dangerous items aboard;
- respect protected areas, wildlife, reefs and other boaters.
The captain may end a trip without refund if anyone on board behaves in a way that puts people, the vessel or the environment at risk.
6. Alcohol
Alcohol on board is allowed only per the captain's discretion and applicable law. [Owners to confirm the alcohol policy.] Guests must be of legal drinking age, and the captain may limit or stop alcohol consumption at any time. The captain and crew on duty do not drink.
7. Client vessels
For deliveries, captain services and training on your own vessel, you confirm that you own the vessel or are authorized to act for the owner, and that it is insured, registered or documented, and reasonably seaworthy. You are responsible for the vessel's condition, equipment and maintenance. We may decline or stop a job if we believe the vessel is unsafe. Some insurance policies require the captain to be named; it is your responsibility to check this with your insurer.
8. Third-party vessels and providers
For large groups, custom charters and transport aboard another vessel, Seawise may arrange the service with independent, licensed third parties (such as charter operators, captains or shipping companies). In those cases Seawise coordinates the logistics and remains your point of contact, but the third party operates its own vessel and is responsible for its operation, crew, permits and insurance. Their own terms may also apply, and we will share them with you when relevant.
9. Limitation of liability
Boating involves inherent risks, described in our Liability Waiver, which every passenger must accept. To the fullest extent permitted by law, Seawise is not liable for indirect, incidental or consequential damages, for delays caused by weather or events outside our control, or for loss of or damage to personal belongings. Where liability cannot be excluded, our total liability for any claim is limited to [the amount you paid for the service in question]. Nothing in these Terms limits liability that cannot be limited under Puerto Rico or federal law, including liability for gross negligence or willful misconduct.
10. Photos and website use
We may take photos during trips to share with you. We will only use photos in which you can be identified for marketing with your permission. The content of this website belongs to Seawise and may not be copied for commercial use without our written consent.
11. Governing law
These Terms are governed by the laws of the Commonwealth of Puerto Rico and, where applicable, United States federal and maritime law. Any dispute will be brought in the competent courts of Puerto Rico [confirm venue]. If any part of these Terms is found unenforceable, the rest remains in effect.
We may update these Terms from time to time. The version in effect when you book applies to that booking.
